1. The beneficiary is required to provide the service provider, in writing, in the transport order or email, with clear instructions if special conditions are requested (ADR cargo, temperature-controlled cargo, fixed pickup\/delivery times, oversized dimensions, etc.) for the shipment. The instructions are subject to the service provider's approval.<\/p>\n

2. The beneficiary is responsible before third parties, including state institutions, for the true content of the packages and\/or pallets.<\/p>\n

3. The beneficiary is obligated to collect the goods and release the storage spaces by the deadline specified in the order.<\/p>\n

4. The beneficiary is prohibited from issuing transport or storage orders for prohibited goods: narcotics, banned chemicals, ammunition, weapons, jewelry, and money. Otherwise, the beneficiary will be solely responsible for any damage suffered by the service provider.<\/p>\n

5. The beneficiary is responsible for the packaging and labeling of the goods; the packaging used must take into account the nature of the goods and must ensure their protection during transport\/handling\/storage, preventing any damage. For groupage shipments, it must be considered during packaging that the goods will undergo multiple handling. The service provider is not responsible for goods that are poorly packaged or inadequately packaged.<\/p>\n

6. Commercial relations are conducted in accordance with the provisions of the Warsaw Convention or the Montreal Convention\u00a0<\/a><\/strong><\/em>and those stipulated in the domestic legislation in force at the time of the contract's conclusion.<\/p>\n

7. The transport price does not include additional cargo insurance (Cargo Insurance).<\/p>\n

8. By opting for cargo insurance, you are protected against risks that do not fall under the liability of XDP EXPRESS TRADING SRL, such as: physical loss and damage to goods due to natural disasters, weather conditions, events caused by third parties, etc.<\/p>\n

9. In the case of loss or damage to goods due to the fault of XDP EXPRESS TRADING SRL during road transport, compensation conditions are in accordance with the CMR convention. For international transport, the maximum compensation is 8.33 SDR\/kg of gross weight missing, and for domestic road transport, the maximum compensation is 2.5 USD\/kg of gross weight missing. In the event of a delay in release, compensation will not exceed the value of the transport, as per Article 23.5 of the CMR Convention.<\/p>\n

10. In the case of damage (partial\/total), its value will be calculated taking into account the value of the damaged goods at the time of the incident, the percentage of damage to the damaged item, determined by comparing it with the undamaged item, the cost of repairing the damaged parts or components, the cost of replacement or refurbishment, minus the residual value, with the lowest value being chosen, without exceeding the liability limit specified in Article 9 above.<\/p>\n

11. The service provider, regardless of its role (intermediary, agent, forwarder, etc.), is only liable for damages caused by its own errors that can be attributed to it or its employees. XDP EXPRESS TRADING is not liable for damages, lost profits, direct\/indirect financial losses, special damages, or for any loss of profit, contracts, revenues, or clients of the Beneficiary, and for the lack of instructions regarding the conditions of transport.<\/p>\n

12. Payment terms: a maximum of 0 days from the date of the invoice, or on the agreed date, via bank transfer. Failure to meet the payment deadline will incur a penalty of 0.2% per day of the invoice value. Force majeure or unforeseen events, as defined in Article 1351 of the Civil Code, communicated and accepted according to the law, will exempt the invoking party from liability. All bank fees will be borne by the payer. The Beneficiary is automatically considered in delay regarding the invoice payment. If the invoice is not contested within two days from receipt, the Beneficiary forfeits this right.<\/p>\n

13. The calculation of transport costs depends on the accuracy of the information provided by the Beneficiary. In the case of changes in weight, volume, or route, the transport cost will be adjusted accordingly. Unforeseen or unannounced costs resulting from non-compliance with the mentioned conditions will be charged additionally.<\/p>\n

14. Any disputes arising from the execution of this contract that cannot be resolved amicably shall be under the jurisdiction of the courts at the registered office of the Service Provider in Bucharest.<\/p>\n
